Terms of Service

The rules and conditions that govern your use of Axiom ERP and our website.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Axiom ERP website (axiomerp.com) and, where applicable, our software, hosting, implementation, and support services (collectively, the "Services").

By accessing the website or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of a company, you represent that you have authority to bind that entity. If you do not agree, do not use the website or Services.

2. Definitions

  • "Axiom," "we," "us," or "our" means Axiom ERP and its authorized affiliates or service partners delivering the Services.
  • "Customer," "you," or "your" means the individual or organization using the website or contracting for Services.
  • "Customer Data" means data, content, and materials submitted to or processed through the Axiom ERP platform by you or your users.
  • "Order" means a signed proposal, quotation, statement of work, or online subscription confirming commercial terms.

3. Services Description

Axiom provides an integrated business platform and related professional services, which may include modules for accounting, inventory, manufacturing, CRM, HR, payroll, projects, and other operational capabilities, as well as implementation, training, and support.

Features, modules, and service levels available to you are defined in your Order or subscription plan. We may update, improve, or discontinue non-material features, provided we do not materially reduce contracted core functionality without notice where required.

4. Accounts and Access

You are responsible for maintaining the confidentiality of account credentials and for all activity under your accounts. You must promptly notify us of any unauthorized access or security incident related to your account.

  • Provide accurate registration and billing information
  • Ensure users comply with these Terms and applicable policies
  • Manage roles and permissions within your organization
  • Not share credentials outside authorized personnel

5. Acceptable Use

You agree not to:

  • Use the Services for unlawful, fraudulent, or harmful purposes
  • Attempt to gain unauthorized access to systems, networks, or data
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or attempt to extract source code except where permitted by law
  • Resell, sublicense, or provide the Services to third parties except as expressly allowed in writing
  • Upload malware, spam, or content that infringes intellectual property or privacy rights
  • Circumvent usage limits, security controls, or licensing restrictions

6. Customer Data

You retain all rights to Customer Data. You grant Axiom a limited license to host, process, transmit, and display Customer Data solely as needed to provide the Services and as otherwise instructed by you.

You represent that you have obtained all necessary rights and consents to submit Customer Data to the Services, and that your use of Customer Data complies with applicable laws. Backup, export, and retention responsibilities may be further detailed in your Order or support agreement.

7. Fees and Payment

Fees, billing cycles, taxes, and payment terms are set out in your Order or pricing plan. Unless otherwise stated, fees are non-refundable except as required by law or expressly agreed in writing.

Late or failed payments may result in suspension or termination of access after notice. You remain responsible for fees incurred prior to termination and for any collection costs reasonably incurred.

8. Demos and Free Trials

Demo environments and free trials are provided "as is" for evaluation purposes and may be limited in duration, features, or support. We may modify or end a trial at any time. Data entered during a trial may be deleted after the trial ends unless converted to a paid subscription under an Order.

9. Intellectual Property

Axiom and its licensors own all rights, title, and interest in the Services, software, documentation, branding, and related intellectual property. These Terms do not transfer ownership of any Axiom IP to you.

Feedback you provide may be used by Axiom to improve the Services without obligation or compensation to you.

10. Confidentiality

Each party may receive confidential information from the other. Recipient agrees to protect such information with reasonable care and use it only for purposes related to the Services. Obligations do not apply to information that is public, independently developed, or rightfully received from a third party without duty of confidentiality, or that must be disclosed by law (with prior notice where legally permitted).

11. Warranties and Disclaimers

We warrant that we will provide the Services in a professional and workmanlike manner consistent with industry standards. Except as expressly stated in an Order or these Terms, the Services and website are provided "as is" and "as available."

To the maximum extent permitted by law, Axiom disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

12. Limitation of Liability

To the maximum extent permitted by law, Axiom will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility of such damages.

Axiom's aggregate liability arising out of or related to the Services will not exceed the amounts paid by you to Axiom for the Services giving rise to the claim during the twelve (12) months preceding the event. Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify and hold harmless Axiom and its officers, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Services, your Customer Data, or your violation of these Terms or applicable law.

14. Suspension and Termination

We may suspend or terminate access if you breach these Terms, fail to pay fees, create a security risk, or if required by law. Either party may terminate a paid subscription according to the notice and term provisions in the applicable Order.

Upon termination, your right to use the Services ends. We may provide a reasonable window to export Customer Data where contractually agreed; afterward, we may delete Customer Data in accordance with our retention practices and Privacy Policy.

15. Governing Law

These Terms are governed by the laws of the Republic of Lebanon, without regard to conflict-of-law principles. Courts located in Beirut, Lebanon shall have exclusive jurisdiction over disputes arising from these Terms, unless a signed Order specifies otherwise.

16. General Provisions

  • If any provision is held unenforceable, the remaining provisions remain in effect.
  • Failure to enforce a provision is not a waiver of that provision.
  • You may not assign these Terms without our prior written consent; we may assign them in connection with a corporate reorganization or sale.
  • These Terms, together with the Privacy Policy, Cookie Policy, and any Order, constitute the entire agreement regarding the subject matter.
  • We may update these Terms by posting a revised version on this page. Material changes for active customers may be communicated by email or in-product notice.
